These Terms of Service ("Terms") govern your access to and use of the Factfu application and related services ("Service") operated by Factfu ("we", "us", or "our"). By installing, accessing, or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and the owner or authorised administrator of the website or store where the Service will be used. By agreeing to these Terms you represent that you have the legal authority to bind your organisation to these Terms.
Factfu provides an AI-powered chat widget and helpdesk that can be embedded in your website or storefront. The Service indexes your content and uses it to answer customer questions automatically, with support for live-agent handoff, lead-capture forms, and conversation management.
You agree not to use the Service to:
All rights, title, and interest in the Service — including software, design, documentation, and trademarks — remain with Factfu. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service as described herein.
You retain all rights to your content. By using the Service, you grant us a limited licence to access, process, index, and cache your content solely for the purpose of providing the Service to you. We will not use your content for any other purpose, including training AI models on your data.
Responses generated by Factfu's AI are based on the content you provide. While we design the system to be accurate, AI-generated responses may occasionally be incorrect, incomplete, or outdated. You acknowledge that:
Subscription fees are billed through your platform's billing system (e.g. Shopify) or directly, depending on your plan. All fees are non-refundable except as required by applicable law or as expressly stated in a written refund policy. We reserve the right to change pricing with 30 days' advance notice.
We strive for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by factors beyond our reasonable control, including third-party service outages, network failures, or force majeure events.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FACTFU, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Factfu and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) content you provide to the Service.
We may suspend or terminate your access to the Service immediately if you violate these Terms, engage in abusive conduct, or pose a security risk. For other reasons, we will provide reasonable notice. You may terminate your use at any time by uninstalling the app, closing your account, or contacting us. Upon termination, your licence to use the Service ends immediately and data deletion is handled per our Privacy Policy.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Factfu operates, without regard to conflict-of-law principles. Any disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Factfu regarding your use of the Service.
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by email or in-app notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.
